Starting your own business is a big expense. Depending on the business, you will have inventory to secure, administrative costs, real property leases, and other costs that will eat away at your initial investment or savings. A lot of times, the costs your business will incur are not predictable. Don’t let business formation be one of those unpredictable costs.

EJP Law offers a variety of flat-fee services in order to properly form your business. Remember, that proper entity formation can save thousands of dollars down the line. Along with the Business Formation Flat-Fees offered, EJP Law also offers flat-fees for transactions.

We can assist you with buying or selling a business.  Whether you are selling the ownership interest in your company or the assets of the company, we can assist you from the first point of discussion through the completion of the transaction.  With rates beginning at a minimum fee of $3,500.00 for the most basic transaction, we offer high caliber, efficient advice to buy or sell small to mid-size businesses.  We also offer day-to-day transactional advice at our current hourly rate and work with your goals and budget to offer expert and efficient advice.

BUSINESS FORMATION FLAT-FEE SCHEDULE

Single Shareholder Corporation: $3,500.00*

  1. One 30-minute consultation meeting;
  2. Drafting of Articles of Incorporation with the SOS;
  3. Drafting of all corporate organizational documents, including the Share Certificates, Investment Representation Letter, Organizational Minutes, Bylaws, and Certificate of Incorporator;
  4. Drafting of the initial Statement of Information with the SOS;
  5. Providing address verification to the Franchise Tax Board, upon direct request of the FTB;
  6. File application for EIN from the IRS;
  7. Draft application for one local business license;
  8. Draft information letter to client with respect to organization of business;
  9. Provide all documents for client e-signature and provide original documents.
  10. Filing fees are excluded.

*Note that the flat fee does not include the filing fee(s) for the business license, fees or costs associated with any DBA, the filing of the S-Corp Form 2553 Election with the IRS, the transfer of any professional license or any other work or cost not identified above.

Single Member LLC: $3,500.00*

  1. One 60-minute consultation meeting;
  2. Drafting of Articles of Organization with the SOS;
  3. Drafting of the Operating Agreement;
  4. Drafting of the Buy-Sell Agreement;
  5. Drafting of the initial Statement of Information with the SOS;
  6. Providing address verification to the Franchise Tax Board, upon direct request of the FTB
  7. File application for EIN from the IRS;
  8. Draft application for one local business license OR Draft one Grant Deed to transfer title of one real property to the LLC;
  9. Draft information letter to client with respect to organization of business;
  10. Provide all documents for client e-signature and provide original documents.
  11. Filing fees are excluded.

*Note that the flat fee does not include the filing fee(s) for the Secretary of State fees, business license, Grant Deed, fees or costs associated with any DBA, the filing of any S-Corp Form 2553 Election with the IRS, the transfer of any permitted professional license or any other work or cost not identified above.

Multi-Shareholder Corporation/LLC (2-5) Shareholders: $4,500.00*

  1. All of the above work as adjusted upward for additional Shareholders, all of the above filings costs, and a standard Shareholder Buy-Out Agreement.
  2. One round of revisions of incorporation paperwork.

**Negotiations between founders of the corporation may result in more than one round of revisions, any round of revisions beyond the first will be billed at the attorney billable rate.

Corporations requiring additional work will be priced on a case-by-case basis.

Annual Services

Business clients that sign up for our flat fee services detailed above will be automatically enrolled in the following annual services:

  1. We will calendar, draft and file the annual Statement of Information;
  2. Serve as the Agent for Service of Process; and
  3. Draft the Board of Directors and Shareholder Meeting Minutes, for an annual flat rate of $400.   Non-standard documents will be priced on a case-by-case basis.
